XIEOS Terms of Use

Terms governing access to and use of the XIEOS website, software, applications, platform, enterprise workspaces, demonstrations, and related services.

Acceptance
These Terms govern access to and use of the XIEOS website, software, applications, platform, enterprise workspaces, demonstrations, and related services.
XIEOS is an AI-native Intelligent Enterprise Operating System connecting enterprise information, workflows, intelligence, analytics, automation, reasoning, prediction, simulation, decision support, orchestration, and organizational learning.
By using XIEOS, you agree to these Terms. If you use XIEOS on behalf of an organization, you represent that you are authorized to do so.

Accounts and Access
Users must provide accurate information and protect their account credentials.
Customers are responsible for:
- authorized use of accounts;
- user administration;
- role and permission management;
- protecting credentials;
- activity conducted through their accounts.

Enterprise Workspaces
Customers may configure enterprise environments, including:
- users;
- roles;
- permissions;
- workflows;
- integrations;
- configurations;
- enterprise data;
- governance controls.
Customers are responsible for configuring appropriate access and authorization.

Customer Data
Customers retain their rights in Customer Data.
Use of XIEOS does not transfer ownership of Customer Data to XIEOS.
Customers represent that they have the necessary rights, permissions, notices, and lawful basis to provide Customer Data to XIEOS.

AI and Automated Processing
XIEOS may generate or assist with:
- analyses;
- recommendations;
- predictions;
- classifications;
- summaries;
- forecasts;
- risk assessments;
- simulations;
- decision-support information;
- workflow recommendations;
- automated actions.
AI outputs may be inaccurate, incomplete, or unsuitable for a particular purpose.
Customers are responsible for appropriate human oversight, approvals, governance, and operational controls.

No Professional Advice
Unless expressly stated otherwise, XIEOS does not provide legal, financial, accounting, medical, engineering, regulatory, investment, or other professional advice.

Acceptable Use
Users must not:
- violate applicable law;
- gain unauthorized access;
- circumvent security controls;
- interfere with system availability;
- introduce malicious code;
- conduct attacks;
- misuse credentials;
- infringe intellectual-property rights;
- submit data without appropriate authorization;
- misuse AI functionality;
- intentionally manipulate or compromise XIEOS;
- reverse engineer protected components except where legally permitted; or
- interfere with another customer's environment.

Intellectual Property
XIEOS and its licensors retain all rights in the XIEOS platform and its:
- software;
- architecture;
- interfaces;
- designs;
- algorithms;
- models;
- documentation;
- trademarks;
- branding;
- proprietary technology.
No ownership is transferred through use of the Services.

Customer Feedback
XIEOS may use non-confidential feedback and suggestions provided by customers to improve the Services.
Customer confidential information remains protected under applicable confidentiality obligations.

Third-Party Services
XIEOS may integrate with third-party applications, APIs, databases, infrastructure, AI technologies, and other services.
Third-party services may be subject to separate terms and privacy policies.

Availability
XIEOS is designed for reliable enterprise operation. Availability may be affected by maintenance, upgrades, infrastructure issues, third-party dependencies, security events, telecommunications failures, force majeure, or circumstances beyond reasonable control.
Specific service-level commitments may be established through applicable commercial agreements.

Security
XIEOS maintains security measures designed to protect the platform and information processed through it.

Confidentiality
Confidential information exchanged between XIEOS and customers must be protected against unauthorized disclosure and use in accordance with applicable agreements and law.
Additional confidentiality requirements may apply under enterprise agreements.

Fees and Commercial Terms
Where Services are provided for payment, pricing, subscription, billing, renewal, cancellation, taxes, and related commercial terms are governed by the applicable order, subscription agreement, or customer contract.

Suspension
XIEOS may suspend access where reasonably necessary to:
- protect security;
- prevent abuse;
- address unlawful activity;
- protect customers;
- investigate material violations;
- comply with applicable law; or
- prevent harm to the Services.

Termination
Access may be terminated in accordance with applicable commercial terms.
Customer Data will be handled following termination in accordance with applicable agreements, retention requirements, and the Privacy Policy.

Disclaimers
To the maximum extent permitted by applicable law, XIEOS does not guarantee that:
- AI outputs will always be accurate;
- predictions will always be correct;
- recommendations will always be appropriate;
- the Services will always be uninterrupted;
- every error will be immediately identified; or
- the Services will satisfy every particular business requirement.

Liability
Liability provisions applicable to paid enterprise services will be governed by the applicable customer agreement and mandatory applicable law.

Indemnification
Where applicable, indemnification obligations will be established through the applicable commercial agreement and applicable law.

Governing Law
The governing law and dispute-resolution provisions applicable to commercial enterprise services will be established through the applicable customer agreement.
Mandatory applicable law remains unaffected.

Changes
XIEOS may update these Terms to reflect changes in the Services, technology, legal requirements, or commercial practices.
Material changes will be communicated through appropriate channels.
